We assist our clients in with pre-offer planning and in the negotiation of buy/sell agreements and commercial leases. We perform due diligence and provide counsel at closings. We help structure and review financing plans for the purchase or renovation of commercial real estate. We also represent clients in zoning and/or land use regulation issues before local, state and federal governments.
We represent investors in negotiations with owners and lenders. We also represent owners of distressed commercial real estate in loan work out and short-sale deals. We counsel and represent parties in bankruptcy matters involving commercial real estate or related debts.
We review and draft a variety of construction contracts including financing and sub-contractor agreements. We also represent general contractors and sub-contractors in contract disputes and related litigation, such as construction defect and mechanic’s lien cases.
Environmental issues commonly arise in commercial real estate transactions. We counsel clients regarding Phase I and II Environmental Site Assessments and help resolve disputes, in and out of court, over liability for environmental hazards.
